These terms and conditions outline the rules and regulations for the use of PraxisWiz Platform.


By accessing or using this website service you agree to be bound by these terms and conditions. If you disagree with any part of the terms and conditions, then you may not access the Service.


The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: “Client”, “You” and “Your” refers to you, the person log on this website and compliant to the brand name PraxisWiz, provided by Exfluence Global Solutions terms and conditions. “PraxisWiz”, “Ourselves”, “We”, “Our” and “Us”, refers to our brand PraxisWiz. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services, in accordance with and subject to, prevailing law of India. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.


We will alert you about any changes by updating the “Last updated” date of these Terms of Service, and you waive any right to receive specific notice of each such change.


It is your responsibility to periodically review these Terms of Service to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the Site after the date such revised Terms of Service are posted.

Intellectual Property Rights


Unless otherwise indicated, the platform is our licensed property and all source code, databases, functionality, software, website design templates, funnels, cms, audio, video, texts, and graphics on the website are licensed to us except the collectively "Content", trademarks, service marks, and logos contained therein (the "Marks"), are owned by us and are protected by copyright and trademark laws, and various other intellectual property rights and unfair competition laws of the internal copyright laws and international conventions. The Content and the Marks are provided on the website "AS IS" for your information and personal use only.


Except as expressly provided in these Terms of Use, no part of the website and no content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed or otherwise exploited for nay commercial purpose whatsoever, without our express prior written permission.


Creating a website are always complicated. Here is an excellent drag and drop builder with loaded features of templates, funnels, cms etc. a complete platform, to save your time, effort, and money. You don't need any coding skills to use the builder. But learning the basics of programming would help you understand the layout process and given you more option to use custom code mode.

User Registration


You may be required to register with the website to use the platform service. You agree to keep your password confidential and will be responsible for all use of your account and password. Users are suggested to choose passwords that meet highest standards of strength permitted by this website. We reserve the right to remove, reclaim or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.


Free Trial


We may offer a trial to new users who registers with site. The user has to upgrade from the free trail account when it stands expired and will be non-active. This trial period is permitted to test/assess and create a website. We reserve the right to delete the trial subscriptions or content of any trial or expired website for unseen reasons without notice. We are not accountable or to be held responsible for any deleted content from a website built on the platform. User needs to upgrade and choose an appropriate paid subscription plan mentioned from there on will be charged monthly or annually.


Fees, Payments and Commercial Terms.


We accept the following forms of payments:

  • Stripe
  • Visa
  • MasterCard
  • American Express


If you are a paid user, you agree to pay all per-use Subscription Fees or fees associated with your usage if you are a paying user ("Subscription Fees"). All subscriptions are paid through Stripe, a third-party payment gateway processor.


PraxisWiz process your payment transactions through Stripe payment gateway processor. We recommend that you read their Terms and Conditions because you are also bound by them. You will be alerted if the payment processor is replaced at any point. Any sales or use taxes related with the Subscription Fees or your use of our services are your responsibility.


You may be required to purchase or pay a fee to access some of our services on subscription basis. You agree to provide current, complete and accurate purchase and account information for all purchases made thought third party payment processor. You further agree to promptly update account and payment information, including email address, payment method and payment card expiration date, so that we can complete your transitions and contact you as needed. We bill you through an online billing account for purchases made through payment processor for your subscriptions. We may change prices at any time. All payments shall be in U.S Dollars.


You agree to pay all charges or fees at the prices then in effect for your purchases. And you authorize us to charge your chosen payment provider for any such amounts upon making your purchase. If your purchase is subject to recurring charges, then you consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge, until you notify us of your cancellation.


If your payment is not received by PraxisWiz for any reason, your paid User account will be inactive until payment is received by us, and you accept that whilst your website is dormant, all associated features/activities will be affected. You agree that until your paid User account membership is terminated or expires, you will continue to remain responsible for the subscription payments, even if you do not use our service. Subscription payments are non-refundable.


Subscriptions are billed monthly in advance and are non-refundable for the duration of the subscription period. To pay the subscription cost, you must supply us with a valid credit card or other payment method. You agree that on each renewal term, we may process your credit card or other valid payment method on the calendar day that corresponds to the first day you subscribed to the Paid Subscription.


  • The payment for applicable fee is in advance of your subscription period according to the agreement.
  • Plans are subject to upgrading. If upgrading or downgrading, then you will be charged the differential amount between the two plans.
  • At the end of a contract term, the services will be automatically renewed for the same period of time until EXPLICITLY canceled by the user. Cancellation must be made via the system and at least 24 hrs. prior to the end of the contract period. To cancel your services or the automatic renew please do that by going to Dashboard > Billing and select the appropriate option.
  • You are responsible for the fair usage of your website and you can be charged for abnormal server or traffic usage on our unlimited subscription plans. You will be charged for the resources used by your website.
  • Downgrade available for yearly subscription, a calculated amount will be refunded between the two-subscription plan, but please note downgrading may cause a loss of information and services due to the different features between the plan. For example if you plan to downgrade from plan C to plan B, where in plan C might have a blog feature and you have some blog posts already and contemplating to download to plan B you will loss your blog post and files.
  • If your bank or credit card company decline based on your instructions charge-back or otherwise reverse the charges of any payable fee to us, we may have the rights to terminate your account. We reserve our rights to dispute any Charge-back.


Your payment to PraxiWiz will automatically renew at the end of the subscription period, unless you cancel your Paid Subscription through your billing page before the end of the current subscription period. The cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to a Free Account. You may cancel your Paid Subscription at any time.

We reserve the right to correct any errors or mistake in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the website.


We may change our fees at any time by posting a new pricing structure to our services and/or sending you a notification by email, if applicable, how to accept those changes. Price changes for Paid Subscriptions will take effect at the start of the next subscription period following the date of the price change. As permitted by local law, you accept the new price by continuing to use the Services after the price change takes effect. If you do not agree with the price changes, you have the right to reject the change by unsubscribing from the Services prior to the price change going into effect. Please therefore make sure you read any such notification of price changes carefully.


Refunds


What is Service Cancellation and Refund Policy?


If you are not satisfied with your purchase, please let us know! Our Policy may include a refund though some restrictions apply. Please review the terms below.

We respect refunds, above Free Trial after upgrading to an yearly plan, we offer a 30-day money back guarantee. If you're unhappy with our service for any reason within the first 30-days, you are free to terminate your contract with us and we'll refund your payments, but a small fee of 6% to 8% equivalent to or greater depends on payment processor fee will be deducted. Furthermore after 30 days, any refund will be prorated based on milestones achieved as follows: Content Creation - 25%, Design - 25%, and Development - 25%.


  • Refund are NOT applicable to monthly subscription plans
  • NO refunds for monthly downgrades.
  • Refund are NOT applicable for Startup Plan.
  • Refunds are NOT applicable for any Exclusive Deals.


Handling, Payment Processor charges, and any applicable tax are not refundable, however it might be possible to reclaim those directly from the government, except in certain cases if we get 100% refund from the service providers, we have no obligation to transfer it to our customers.


Please note that your cancellation, and refund eligibility may differ if purchased from third party (eg. Affiliate, Referrer etc.). Review your offer terms for more information.

If you cancel with in 30 days and your plan includes a free or paid domain. We will deduct a non-refundable domain fee from your refund. This not only covers our costs but ensures that you won't lose your domain name. You may transfer it to another registrar at your convenience. Kindly note newly registered domains cannot be transferred to another registrar during initial 60 days of registration period. You retain ownership of your domain until the end of its registration period unless you renew it.


Exceptions to the Returns Policy


PraxisWiz does not offer any refund for cancellations that occur after 7days.


Only first-time accounts are eligible for refund. For example, if you've had an account with us before, canceled and signed up again, you will not be eligible for a refund of if you have opened a second account with us.


Service Cancellation for Assisted Integration or Customization plans.


Further to the stated terms by PraxisWiz or pay due fees you will entitle PraxisWiz to cancel or suspend your account services and website. You can cancel your services as per terms stated within 30 days of concluding the contract for yearly plans and maintenance, no questions asked. We are not in any way held responsible for any damages and losses due to cancellation of services


In Progress Effort - If effort has been put forth on the design/development/images or videos purchased for the website or funnel and completion has generally progressed, but we haven't published the website or funnel, there will be Partial Refund issued to the customer; which is no more than 45% of the initial balance paid.

In Website Published - If we have completed the project and published the website or funnel and its contents "Live" to the internet, and have done so by following the appropriate rules and guidelines, there will be NO REFUND issued to the customer. This decision of no refund policy is made solely by PraxisWiz.


PraxisWiz also reserves the rights to cancel your account any time without any notice and refund if found suspicious.

Domain Registration


Domain registration/renewal etc charges are not included as a part of any plans/proposal unless mentioned otherwise in the invoice.

  • If a custom domain is claimed/registered with an yearly subscription and the user cancels their services with in 7 days refund period, the full amount of the domain will be deducted from the refund amount, along with a small fee of 6% to 8% lesser or equivalent depending on payment gateway processor fee, as mentioned.
  • Transferring of domain might be subject to further fees from the third-party domain provider, you need to make this arrangement with your new webmaster.
  • Once a domain is registered, it is final and there cannot be a change of domains or refund possible. Since the domains are brought through third party companies to provide such services.

Most interactive websites use cookies to let us retrieve the user's details for each visit. Cookies are used by our website to enable the functionality of certain areas to make it easier for people visiting our website. Some of our affiliate/advertising partners may also use cookies.


Prohibited Activities


You may not access or use the website for any purpose other than that for which we make the website available. The website may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

  • Systematically, retrieve data or other content from the site to create or compile, directly or indirectly, a collection, complication, database, or directory without written permission from us.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the website for you.
  • Delete the copyright or other proprietary rights notice from any Content.

  • your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us).
  • your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
  • your Contributions do not advocate the violent overthrow of any government or incite, encourage, or threaten physical harm against another.
  • your Contributions do not violate any applicable law, regulation, or rule.
  • your Contributions do not violate the privacy or publicity rights of any third party.

You retain full ownership of all of your Contributions and any intellectual property rights, or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Site.


You are solely responsible for your Contributions to the Site and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.


We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations on the Site; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor your Contributions.


Service Modifications and Interruption


Modifications of the service platform. PraxisWiz may make changes and update on the existing services or components and will use reasonable efforts to notify all it’s Customers about those changes. The changes are effective upon the date of the change. PraxisWiz shall not be liable for modifications and actions of third-party services.


Modifications to the agreement and the fees may occur based on the effort and time spent for upgrading. You will be notified prior to those changes being applied to your account. If you refuse or fail to pay such fees, we hold all rights to cancel your subscription.


To ensure the best possible service level, the Owners reserves the right to interrupt the Service for maintenance, system updates or any other changes, informing the Users appropriately.


Within the limits of law, the PraxisWiz may also decide to suspend or terminate the Service altogether. If the Service is terminated, the PraxisWiz will cooperate with Users to enable them to withdraw Personal Data or information in accordance with applicable law.


Additionally, the Service might not be available due to reasons outside the Owner’s reasonable control, such as “force majeure” (eg. labor actions, infrastructural breakdowns or blackouts etc).


User Representations


By using the website, you represent and warrant that: (a) all registration information you submit will be true, accurate, current and complete; (b) you will maintain the accuracy of such information and promptly update such registration information as necessary; (c) you have the legal capacity and you agree to comply with these Terms of Use; (d) you are not a minor in the jurisdiction in which you reside; (e) you will not access the website through automated or non-human means, whether through a bot, script or otherwise; (f) you will not use the website for any illegal or unauthorized purpose; and (g) your use of the website will not violate any applicable law or regulation.


If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the website (or any portion thereof).


User Submissions


To protect your privacy, you aren't obliged to submit any information that contains personal healthcare information or personally identifiable information (like name, phone number, email address) regarding your personal situation, as the we cannot protect the confidentiality of your personal healthcare information or personally identifiable information in such circumstances. Any personal healthcare information or personally identifiable information submitted is done so at your own risk.


Certain health and medical information about you is protected under the Health Insurance Portability and Accountability Act (“HIPAA”) and applicable state law. This information may be provided by you though online or offline or may be collected by us from other methods such as through a health care provider.


We will not collect your personally identifiable information unless it has been clearly provided by you. If you decide to sign up to any tools (newsletters, ad campaign, alerts, participate in polls, sweepstakes or other activities, participate in forums or blogs, etc.), you will need to provide your personally identifiable information only to us along with your clear consent for us to use it.


As we do not control third party websites to which we provide links, the collection and use of your personally identifiable information by such websites shall be subject to the policies and procedures of those third-party websites.


Reservation of Rights


We reserve the right to request that you remove all links or any particular link to our Website. You approve to immediately remove all links to our Website upon request. We also reserve the right to amen these terms and conditions and it's linking policy at any time. By continuously linking to our Website, you agree to be bound to and follow these linking terms and conditions.


Your Sites and Your End Users Are Your Responsibility. Your Sites may have their own visitors, customers and users. You understand and agree that (a) Your Sites and your End Users are your responsibility; (b) you’re solely responsible for providing products, services and support to your End Users; and (c) you’re solely responsible for compliance with any laws or regulations related to Your Sites and/or your End Users. We’re not liable for, and won’t provide you with any legal advice regarding, Your Sites or your End Users. This does not limit or affect any liability we may have to you separately for any breach of the other provisions of this Agreement.


Website templates, funnels, blocks, images icons elements and other collective demo layout materials are properties of PraxisWiz. You may not use any Template in any way, whether intentionally or unintentionally, that competes with the Services, as decided by us in our sole discretion. Templates are non-transferable.


On our platform, we provide you limited, non-transferable access to construct websites, funnels, and CRM etc. We try not to get involved in disputes if you as a freelancer or agency created an account on our platform for your customer. We do, however, maintain the right to suspend an account or a site until the parties reach an agreement. To assist in determining the rightful owner, we may request proper documents such as valid ID proofs, billing details, and invoices.



Use of Third Party Materials


Certain services available may include materials from third parties.The images used on the mock-up themes are released under Creative Commons CC0 (https://creativecommons.org/publicdomain/zero/1.0/deed.en) and some themes have images from iStock an online royalty-free, stock photos, images and videos. PraxisWiz does not hold any rights to images used for the creation of the themes.


We use stock photos from iStock on our website templates for visual representation purpose only and are not supposed to resell or reproduce as per the standard license agreement from iStock. or any other third party image repository. You need to purchase iStock, graphics or videos on your own for all "DIY plans" or we could purchase from iStock website as a part of assisted Integration or customization plan on your behalf as a convenience to you.


Stock photos are licensed only to the purchaser and are nontransferable, as long as you are associated with us, you can use them. If you decide to move out of our service you are not authorized to use the images, graphics or videos. You will have to purchase if you want to reuse them again. You agree that you will not use any third-party materials in a manner that would infringe or violate the rights of any other party and that we PratisWiz is not in any way responsible for any such use by you.


Removal of links from our website


If you find any link on our Website that is offensive for any reason, you are free to contact and inform us any moment. We will consider requests to remove links, but we are not obligated to or so or to respond to you directly.


We do not ensure that the information on this website is correct, we do not warrant its completeness or accuracy; nor do we promise to ensure that the website remains available or that the material on the website is kept up to date.


Hyperlinking to our Content


  • The following organizations may link to our Website without prior written approval:
  • Government agencies.
  • Search engines.
  • News organizations.

If you are one of the organizations listed in paragraph 2 above and are interested in linking to our website, you must inform us by sending an e-mail to PraxisWiz. Please include your name, your organization name, contact information as well as the URL of your site, a list of any URLs from which you intend to link to our Website, and a list of the URLs on our site to which you would like to link. Wait 2-3 weeks for a response.


Approved organizations may hyperlink to our Website as follows:

  • By use of our corporate name; or
  • By use of the uniform resource locator being linked to; or
  • By use of any other description of our Website being linked to that makes sense within the context and format of content on the linking party's site.

No use of PraxisWiz logo or other artwork will be allowed for linking absent a trademark license agreement.


Site Management


We reserve the right, but not the obligation, to (a) monitor the site for violations of these terms of use (b) take appropriate legal action against anyone who, is our sole discretion, violates the law or these Terms of Use, including without limitations, reporting such user to law enforcement authorities (c) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof (d) in our sole discretion and without limitation, notice, or liability to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems and (e) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the site.
